Terms for business projects and individually agreed hosting, maintenance and ongoing care.

Scope and business customers
These terms apply to business customers commissioning projects or separately agreed hosting, maintenance and ongoing support. Individual agreements take precedence.

Contract formation
The individual proposal, service description and agreed attachments define the order. A contract is formed by accepting the proposal in text form or by confirming the supplied contractual information and terms and completing checkout. An invoice or payment request expressly presented as a binding offer may also be accepted. An enquiry alone does not create an order.

Services and scope
Services may include premium websites, conversion pages and funnels, interactive web experiences, brand design, pitch decks and sales materials, campaign creatives, AI video production, integrations and automation. Hosting and ongoing care require separate agreement. Scope and prices are individual; there are no standard packages under these terms. Drafts, internal files, unused concepts, prompts and systems are included only if expressly agreed. Creating content does not automatically include posting, advertising management or community management.

Project start and delivery
Delivery periods begin after the payment due before project start, completed onboarding, required materials, access and approvals have been received. Client delays extend delivery by the delay plus reasonable rescheduling time. Ongoing services begin on the separately agreed date.

Client responsibilities
The client provides accurate information, materials, rights, access and consolidated approvals on time and appoints an authorised primary contact.

Feedback and changes
One-off projects include two consolidated feedback rounds unless agreed otherwise. Ongoing care follows its own agreed scope. New pages, features, integrations and changes of direction outside the agreed scope require separate approval and remuneration.

Fees and payment
Prices are net plus applicable VAT unless stated otherwise. One-off projects are paid in full before work starts unless another payment model is agreed. Ongoing hosting, maintenance and support may be paid monthly, annually or at another agreed interval, normally in advance for that period. Prices and payment arrangements are agreed individually. The payment interval alone does not determine the contract term or notice period. Changes to scope or fees require agreement; additional work is approved before it is charged.

Third-party costs and accounts
The proposal specifies which hosting, domain, licence, software and other third-party costs are included and which the client pays separately. Provider accounts may be held by the client or managed by PIXELENGEL as agreed. Internal production tools are included unless agreed otherwise.

Hosting, handover and maintenance
Hosting may use a PIXELENGEL-managed account, a client account supported by PIXELENGEL, or a provider chosen by the client. Vercel or another suitable agreed provider may be used. No hosting model is mandatory. Long-term use of a PIXELENGEL account requires an express hosting or care agreement; otherwise the project is delivered to the client account or designated provider. Account responsibilities, costs and access are agreed individually. The client remains the holder of the domain registered for the project.

Individual ongoing care
Maintenance, updates, support and later changes require a separate order. The service description defines included work and any agreed time or task allowance. There is no unlimited allowance or automatic entitlement to every type of maintenance. Scope and fees depend on the project, whether it needs occasional changes or frequent shop updates. Support channels, processing times and any specific response commitments are agreed individually; round-the-clock cover requires express agreement. Backup and recovery responsibilities are defined in the order without limiting statutory duties. Statutory remedies for defects in the original work remain separate and are not charged as maintenance or deducted from a changes allowance.

CMS and later changes
A content management system is included only if expressly agreed. Changes by the client or third parties after handover are made at their own risk.

SEO, analytics and legal content
Basic search optimisation covers the agreed technical and content measures without guaranteeing rankings or commercial results. Tracking and analytics require agreement. PIXELENGEL does not provide legal advice. The client supplies or professionally reviews mandatory legal texts and approvals.

AI-assisted tools
PIXELENGEL may use AI-assisted tools for research, copy, design, media, code and quality assurance. Final work is reviewed. The client remains responsible for final factual, rights and publication approval.

Acceptance and defects
Completed work that is subject to acceptance is provided for review within a period appropriate to its scope and complexity, normally five business days for straightforward deliverables and longer for complex projects. Acceptance, including acceptance by conduct or expiry of a review period, follows the statutory requirements. Test availability alone is not acceptance. Recurring activities without a separately agreed deliverable are not subject to blanket project acceptance. Minor defects do not prevent acceptance; statutory defect rights are preserved and PIXELENGEL has the first opportunity to remedy substantiated defects.

Usage rights
Agreed rights in each final deliverable transfer after full payment for that deliverable. Ending later care does not remove rights already acquired. The client may have the agreed project maintained by another provider and may change hosting. Internal tools and restricted third-party licences are not transferred automatically. Special uses, exclusive rights and editable files for brand assets, sales materials, creatives and videos are defined in the order, subject to applicable asset licences.

Portfolio use and confidentiality
PIXELENGEL may present completed work as a reference unless a different confidentiality agreement is made before the project starts. Non-public business information remains confidential. A legally required data processing agreement is concluded separately where applicable.

Subcontractors
PIXELENGEL may use qualified specialists and subcontractors while remaining responsible for the agreed delivery.

Liability
Liability is unlimited where required by law, including intent, gross negligence and injury to life, body or health. For minor negligence involving essential contractual duties, liability is limited to typical foreseeable damage. After full handover without ongoing care, regular backups are the client's responsibility. For commissioned hosting or care, responsibilities follow the order and applicable statutory and contractual protection duties.

Termination of ongoing services
Ongoing hosting, maintenance and care run indefinitely unless another term is expressly agreed. Either party may terminate with 30 calendar days' notice in text form, counted from receipt. An expressly agreed minimum term postpones ordinary termination until the end of that term, with the same notice period. After a minimum term, the contract continues indefinitely unless otherwise agreed. Monthly or annual payment alone does not create a minimum term. Rights to terminate for cause remain unaffected. Fees are due until the effective end date; prepaid fees covering later periods are refunded proportionally. Agreed, demonstrable and non-refundable external commitments are accounted for separately without double charging.

Handover when care ends
PIXELENGEL hands over the agreed and paid-for deliverables, project files, source code, available project data and project-specific access to the client or designated provider. Transferable projects and purchased transferable licences are transferred on request, and domain administration is released or transferred. Shared agency credentials are not disclosed; project-specific transfer or export is used instead. Normal handover and technically possible account or project transfers are included. The parties coordinate during the notice period, with the client supplying suitable target accounts and access. Additional rebuilding or adaptation to another hosting environment requires prior approval and is not a condition for normal handover or retaining acquired usage rights. Services continue until the agreed end, subject to statutory rights to withhold performance. Extended transition support is separately agreed. Personal data return and deletion follow the law and any applicable data processing agreement.

Project cancellation and force majeure
Statutory project termination rights remain unaffected. Payment on project cancellation follows the applicable law and work performed. Neither party is responsible for delays caused by events outside reasonable control; deadlines extend appropriately.

Communication and governing law
Project approvals may be documented by email, WhatsApp or the agreed project platform. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The German project terms are the legally authoritative version.
